1. Agreement to Terms

By accessing or using SoundDeal ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

The Service is operated by Songs About Sound, LLC, 5777 W Century Blvd, Ste 1600, Los Angeles, CA 90045 ("SoundDeal," "we," "us," or "our").

2. What the Service Does

SoundDeal is an AI-powered educational and informational tool that analyzes music industry contracts. The Service extracts key terms, compares them against our industry benchmark dataset (see Section 7A for where that data comes from), identifies potential issues, and generates a deal health score.

3. What the Service Does NOT Do

THIS IS NOT LEGAL ADVICE. This is the most important section of these Terms.

SoundDeal is not a law firm. SoundDeal is not a lawyer. SoundDeal does not provide legal advice, legal representation, or legal counsel of any kind.

The analysis, scores, red flags, benchmarks, and suggestions provided by the Service are for educational and informational purposes only. They are generated by artificial intelligence and are not a substitute for the advice of a qualified attorney.

You should not rely on the Service's output to make legal or business decisions without first consulting a licensed attorney who is familiar with your specific situation, jurisdiction, and goals.

By using the Service, you acknowledge and agree that:

4. Accounts and Eligibility

You must be at least 18 years old to use the Service. You are responsible for maintaining the security of your account credentials. You agree to provide accurate information when creating your account.

5. Subscription Plans and Credits

SoundDeal offers the following plans:

Prices are in US dollars and may change with 30 days' notice to active subscribers.

6. Payments and Billing

Payments are processed securely through Stripe. By subscribing, you authorize recurring charges to your payment method at the applicable rate. Subscriptions renew automatically unless cancelled before the next billing cycle.

All purchases are final. Due to the digital nature of the Service, no refunds are issued once a purchase is made. Please review Section 16 (Refund Policy) for full details.

7. Your Content

When you upload a contract to SoundDeal, you retain all ownership rights to that document. We do not claim any ownership of your uploaded content.

By uploading a contract, you grant SoundDeal a limited license to process the document for the purpose of providing the analysis you requested, and to retain the resulting analysis output and the deal terms extracted from the contract in your account. The original contract file is deleted from our storage once the analysis completes successfully; the analysis output is retained so you can revisit your results. We do not store embeddings of your contract — see the Privacy Policy, Section 2.

You represent that you have the right to upload any contract you submit for analysis. Do not upload contracts you are not authorized to share.

7A. Anonymized Deal Benchmark Data

SoundDeal maintains an industry benchmark dataset built from anonymized deal terms (such as advance amounts, royalty rates, points, term lengths, territory scope, and similar non-identifying financial fields) extracted from contracts analyzed through the Service. This dataset powers the market comparisons and negotiation guidance shown to all users.

User-contributed data: When you upload a contract, you may opt in to including anonymized deal terms from that contract in our benchmark dataset by checking the consent box on the analysis page. Opting in is voluntary and not required to use the Service. If you do not opt in, your deal terms will not be included in benchmark calculations. The data included in the benchmark dataset is stripped of personally identifying information, including party names, signatures, and the original contract text.

Pre-cleared sources: A portion of the benchmark dataset originates from pre-cleared sources, including management company databases where the rights holders have authorized anonymized aggregation of deal terms through their representation, distribution, or licensing agreements. Where SoundDeal relies on legitimate interest as a basis for processing such data, we have conducted a balancing assessment and determined that our interest in producing accurate industry benchmarks does not override the rights and freedoms of data subjects, given the anonymized and aggregated nature of the data.

Use of the benchmark dataset: Aggregated benchmark statistics may be displayed to other users of the Service, included in product features, used to train and improve SoundDeal's analysis models, referenced in SoundDeal marketing materials, and licensed or made available as anonymized industry statistics. Benchmark statistics are computed from groups of records and never reveal the terms of any single contract or party.

Withdrawing consent: You may withdraw consent at any time by contacting support@sounddeal.com. Withdrawal covers all of your contributed analyses, past and future, not only the ones you upload afterwards: we remove your contributed deal terms from the dataset, so they are excluded from every subsequent benchmark calculation. What we cannot do is un-publish arithmetic — benchmark figures already computed and displayed before your withdrawal are not retroactively recalculated. We action withdrawal requests within a reasonable timeframe.

8. Acceptable Use

You agree not to:

8A. Automated and Agent Access

Permitted access. SoundDeal may be accessed by automated systems, including AI assistants and agents acting on your behalf, solely through our documented interfaces: the SoundDeal API and the SoundDeal MCP connector. Automated access through any other means — including scraping, crawling, or simulating human use of the website — is prohibited.

Your responsibility for agent actions. When you authorize an AI assistant or other automated system to access your account, actions taken by that system within the scope of the permissions you granted are deemed actions taken by you. You are responsible for reviewing the permissions you grant, for the instructions you give any connected assistant, and for all use of your account credentials and connected applications. Plan limits, usage quotas, and fees apply to analyses and other billable actions initiated through a connector in the same way as actions taken directly on the website.

API keys are your responsibility. An API key acts on your account without a further sign-in, and when sent to our MCP connector it is an all-or-nothing credential rather than a scoped one — see the Privacy Policy, Section 4C. You are responsible for keeping your keys secret and for any use made of them before you revoke them.

Reviewing and revoking access. Your Connected Apps page lists every OAuth application connected to your account and every active API key. You may disconnect any application there at any time, which invalidates its credentials immediately; API keys are revoked from the Developer API page.

No professional advice. SoundDeal's analyses, benchmarks, and negotiation briefs are informational tools and do not constitute legal, financial, or professional advice — whether accessed directly or through an AI assistant. Output delivered through an AI assistant may be summarized, transformed, or presented by that assistant in ways outside our control, and we are not responsible for the assistant's interpretation or presentation of our output. You should consult a qualified professional before making decisions about any contract.

Aggregate data and fair use of benchmarks. Benchmark data returned through our interfaces is provided for your use in evaluating contracts and negotiations. You may not use automated access to systematically extract, reconstruct, or redistribute our benchmark dataset, or to build a competing dataset or service.

Rate limits and revocation. We may apply rate limits to automated access and may suspend or revoke connector or API access that we reasonably believe violates these terms, degrades the service, or presents a security risk.

Third-party platforms. Your use of any AI assistant platform (such as Anthropic's Claude) is governed by that platform's own terms. We are not a party to your agreement with the platform, and the platform provider is not a party to these terms.

9. Intellectual Property

The Service, including its analysis methodology, clause library, scoring system, benchmarks, benchmark dataset, user interface, and branding, is the intellectual property of SoundDeal. You may not copy, modify, or distribute any part of the Service without prior written consent.

Your analysis reports are yours to use, share with your attorney, or reference in negotiations. However, the underlying methodology and benchmark data remain our property.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDDEAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE ANALYSIS OUTPUT WILL BE ACCURATE, COMPLETE, OR CURRENT.

12. Indemnification

You agree to indemnify and hold harmless SoundDeal from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your reliance on the Service's output.

13. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may cancel your account at any time. Upon cancellation of a subscription, you retain access through the end of your current billing period.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or a notice on the Service. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Los Angeles County, California.

16. Refund Policy

All sales are final. SoundDeal is a digital product and no refunds are issued once a purchase is made.

Single Analysis ($4.99): This is a one-time purchase that grants you one full contract analysis. Once purchased, the credit is non-refundable regardless of whether it has been used.

Pro ($29.99/month) and Pro Max ($49.99/month): Subscription fees are non-refundable. You may cancel your subscription at any time from your account settings. When you cancel, you retain access to the Service through the end of your current billing period. No partial refunds are issued for unused portions of a billing period.

Free Tier: The Free Tier (one partial analysis) is provided at no cost and serves as your opportunity to evaluate the Service before making any purchase.

By completing a purchase, you acknowledge that you have had the opportunity to evaluate the Service through the Free Tier and that all sales are final.
